Company Secretarial Lead - £60-75k

We have a superb opportunity for a Company Secretarial Lead. This is a city based role working for a well-established Investment house.

Key Responsibilities and Scope of role:

Main responsibilities include but are not limited to:

Board and Director Support (40%)

  • Company Secretary to certain key Board and Board Committees
  • Work with the Chair, Non-executive Directors and Management to set appropriate board calendar, manage the Board Charter, including role profiles, Terms of Reference and Matters Reserved to the Board.
  • Perform annual effectiveness review and review against the relevant Charter.
  • Working with Regulatory Compliance support the directors in demonstrating that the directors are fulfilling their regulatory responsibilities.
  • Working with Regulatory Compliance support any new director applications under the approved person's process.
  • Oversee and support the induction of NEDs to the Board / Committees.
  • Manage the meeting process and oversee the performance of the Company Secretarial Assistant / Trainee as appropriate.

Co-Head of the Subsidiary Governance Team (40%)

  • Support the Deputy Company Secretary to set the strategy for the Subsidiary Governance Team.
  • Manage projects to support the delivery of the overall team strategy.
  • Manage core departmental systems, such as blueprint, including setting the strategy, having oversight for implementation and on-going use

Statutory, Legal and Regulatory compliance (20%)

  • Support the Deputy Secretary in managing the Subsidiary Governance Manual
  • Manage the entities within the business to ensure Group entity statutory records are compliant with legal, statutory and regulatory requirements.
  • Draft non-routine board minutes, papers and statutory forms.
  • Review corporate documentation such as report and accounts
  • Respond to technical company secretarial queries from the business.
  • Ensure that the compteam Company Secretarial policies and procedures are reviewed routinely and implemented in an appropriate manner.
  • Provide oversight to ensure that the statutory and regulatory filings managed by the team, such as close links and annual controllers report, are completed on time to the appropriate standard.
  • Undertake research on technical matters and share knowledge with other team members.
  • Manage the provision of information for inclusion in the Quilters PLC Report and Accounts in relation to the subsidiary companies.
  • Work flexibly with other Co-Sec Leads to provide coverage for Quilters PLC and its entities
  • Have oversight for and coach the Company Secretarial Assistant / Trainee as required.

Qualifications required:

  • Educated to degree level
  • Qualified Chartered Secretary (ICSA)

Experience required:

  • Proven CoSec experience gained in a professional or regulated environment, including knowledge of governance requirements under MiFID II
  • Good knowledge of Blueprint.
  • Proven project and people management experience.
  • Good experience of influencing with senior stakeholders.
